Terms of Service

Plain terms for using Avenday. If something here is unclear, ask us. We would rather explain it than have you agree to something you did not read.

These terms are an agreement between you and Avenday (“Avenday”, “we”). They cover the Avenday mobile app, this website, and anything else we offer that links here. By creating an account or using Avenday, you agree to them. If you do not agree, do not use Avenday.

1. Who may use Avenday

You must be at least 18 years old, or the age of majority where you live, to create an account. You may add members of your household to your family, including children, and you are responsible for what you enter about them and for having the authority to do so.

2. Your account

Keep your credentials to yourself and tell us promptly if you think someone else has access. You are responsible for activity under your account. We may suspend an account that is being used to break these terms or the law, or that puts other people at risk.

3. Beta software

Avenday is in active development and parts of it are offered as a beta. Beta features may change, break, lose data, or disappear. Do not use Avenday as the only record of anything you cannot afford to lose.

4. Your content

Your plans, lists, tasks, recorded facts and messages are yours. You keep all rights to them.

You grant us a limited license to host, store, transmit, display and process that content, and to send the relevant parts to the AI providers described in our Privacy Policy, strictly to operate Avenday for you and your family. That license exists only so the service can function, and it ends when you delete the content or your account.

5. What Avenday AI is, and is not

Avenday uses large language models to summarize your day, suggest actions, and answer questions. Its output is generated, not verified. It can be wrong, incomplete, or confidently mistaken.

Avenday is not medical, legal, financial, psychological or safety advice, and must not be relied on as such. Check anything that carries a consequence against the original source: a medication, a deadline, an allergy, a pickup time. Actions that change your data are shown to you for confirmation before they are taken; confirming them is your decision.

6. Acceptable use

You agree not to:

  • Use Avenday to break the law, or to harm, harass, surveil or endanger anyone.
  • Enter another person’s information without the authority to do so.
  • Attempt to access accounts, data or systems that are not yours.
  • Reverse engineer, scrape, or overload the service, or work around its limits.
  • Resell or redistribute Avenday, or use it to build a competing product.
  • Upload malware, or content you have no right to upload.

7. Subscriptions and payment

Some features may require a paid subscription. Prices, billing periods and what is included will be shown to you before you buy. Subscriptions purchased through the Apple App Store or Google Play are billed and renewed by that store under its rules, and cancellations and refunds are handled there. Unless the law says otherwise, payments are non-refundable, and canceling stops the next renewal rather than the current period.

8. Changes to the service

We may add, change or remove features. If we discontinue Avenday or a material part of it, we will give reasonable notice and an opportunity to export your data.

9. Ending it

You may stop using Avenday and delete your account at any time from within the app. We may terminate or suspend your access if you materially breach these terms, or if we are required to by law. Sections that by their nature should survive termination do: content ownership, disclaimers, limitation of liability, and dispute resolution.

10. Disclaimers

Avenday is provided “as is” and “as available”. To the fullest extent permitted by law, we disclaim all warranties, express or implied, including merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that Avenday will be uninterrupted, error-free, or that its output will be accurate.

11. Limitation of liability

To the fullest extent permitted by law, Avenday will not be liable for indirect, incidental, special, consequential or punitive damages, or for lost profits, lost data, or missed events or appointments. Our total liability for any claim relating to Avenday is limited to the greater of the amount you paid us in the twelve months before the claim, or one hundred US dollars.

Some jurisdictions do not allow these exclusions, in which case the limits above apply only as far as the law allows.

12. Indemnity

You agree to indemnify Avenday against claims arising from your content, your use of the service, or your breach of these terms, except to the extent the claim arises from our own conduct.

13. Governing law

These terms are governed by the laws of the State of Missouri, United States, without regard to its conflict of laws rules. Disputes will be brought in the courts located there, unless the law where you live gives you the right to bring them elsewhere.

14. Changes to these terms

We may update these terms. We will change the date at the top, and for material changes we will notify you in the app or by email before they take effect. Continuing to use Avenday after that means you accept the updated terms.
